3. Company Services

Ridley provides a technology platform that offers informational assistance for home sellers. Ridley does not provide real estate brokerage services, legal advice, tax advice, investment advice, or any other form of professional advice. Any information, tools, estimates, or recommendations provided through the Services are for informational purposes only and should not be relied upon as professional guidance.

4. Privacy & Additional Terms

Your use of our Services is also governed by our Privacy Policy, which is incorporated by reference. Certain features or services may be subject to additional terms, which will be presented to you at the time of use.

5. Intellectual Property

All content, technology, software, trademarks, logos, and intellectual property associated with the Services are owned by or licensed to Ridley. You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for personal, non-commercial purposes. You may not reproduce, distribute, modify, create derivative works, publicly display, or otherwise exploit any content without prior written consent.

6. Prohibited Activities

You agree not to:

• Discriminate against any person in violation of applicable Fair Housing laws
• Post offensive, misleading, or unlawful content
• Scrape, harvest, or collect data from the Services without authorization
• Reverse-engineer, decompile, or disassemble any software used in the Services
• Use the Services to develop competing products or services
• Interfere with or disrupt the integrity or performance of the Services

7. Third-Party Providers

Ridley may share your information with third-party service providers such as mortgage lenders, attorneys, inspectors, contractors, and real estate professionals in order to facilitate services. By using the platform, you authorize this data sharing. Ridley does not control and is not responsible for the actions or services of third-party providers.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITH ALL FAULTS. RIDLEY MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. RIDLEY DISCLAIMS ALL LIABILITY FOR ERRORS, OMISSIONS, INTERRUPTIONS, DELETIONS, DEFECTS, DELAYS, UNAUTHORIZED ACCESS, OR DAMAGES OF ANY KIND.

Ridley's total liability to you for any and all claims shall not exceed the greater of $100 or the amounts paid by you to Ridley in the 12 months preceding the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless Ridley, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of your use of the Services, violation of these Terms, or infringement of any third-party rights.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Colorado. Any disputes shall first be resolved through good-faith negotiation, then mediation in Denver, Colorado, and finally through binding arbitration under the rules of the American Arbitration Association (AAA). Both parties waive their rights to participate in class actions and jury trials.

11. Modifications

Ridley reserves the right to modify the Services and these Terms at any time. Material changes will be communicated through the platform or via email. Your continued use after modifications constitutes acceptance of the updated Terms.

12. Termination

Ridley may suspend or terminate your access to the Services immediately and without notice for any reason, including violation of these Terms. Upon termination, your right to use the Services ceases immediately.

13. Miscellaneous

These Terms constitute the entire agreement between you and Ridley regarding the Services. If any provision is found unenforceable, the remaining provisions remain in effect. Ridley's failure to enforce any right or provision does not constitute a waiver. You may not assign or transfer these Terms without our consent.

14. Additional Terms for Sellers and Buyers

For Sale By Owner Listings: Sellers attest to ownership or authority to sell the property, accuracy of all information provided, and that no conflicting agreements exist. Ridley and getridley.com disclaim brokerage services and do not guarantee sale outcomes.

Buyer Acknowledgment: Buyers are responsible for independent verification of all property information. Transactions occur solely between buyer and seller. Ridley makes no representations or warranties regarding property condition, value, or legal status.
